Agreement to These Terms

These Terms of Service apply to your use of the Veryfyd website and, where incorporated into an order, proposal, insertion order, statement of work or other agreement, to services provided by Veryfyd.

By using our website or purchasing or using our services, you acknowledge that you have read and agree to the terms applicable to that use or engagement.

If you are acting on behalf of a company or other organization, you represent that you are authorized to act on its behalf.

Where a separately executed agreement, insertion order, statement of work or other written agreement contains terms that conflict with these Terms, the specifically agreed written terms will control to the extent of that conflict.

Veryfyd Services

Veryfyd provides B2B data, lead verification, quality assurance and campaign-related services. Depending on the engagement, services may include:

• B2B lead verification
• Contact and company data validation
• Data quality and database audits
• Campaign lead generation
• Lead qualification
• Intent or campaign criteria validation
• Structured human verification
• Technology-assisted verification
• Quality-assurance review
• Campaign and delivery support

The precise scope, methodology, deliverables, volume and qualification requirements for a campaign may be specified separately in the applicable proposal, insertion order, statement of work or other written agreement.

Campaigns, Orders & Requirements

Campaign requirements may include targeting criteria, geography, industries, company size, job functions, seniority, qualification questions, lead volumes, delivery schedules and other agreed specifications.

Both parties are responsible for confirming material campaign requirements before delivery begins.

Material changes requested after campaign launch may affect delivery schedules, available volume, pricing or other aspects of the engagement and may require written agreement.

Client Responsibilities

Clients are responsible for:

• Providing accurate campaign instructions and targeting criteria
• Providing information reasonably required for service delivery
• Reviewing agreed campaign specifications
• Using delivered information for lawful business purposes
• Maintaining appropriate safeguards for information received
• Complying with laws applicable to their subsequent use of delivered data

Clients remain responsible for their own marketing, sales, communications and other activities undertaken after delivery.

Verification & Data Quality

Veryfyd’s verification process may combine technology, structured human verification and quality-assurance procedures.

Verification may assess attributes such as contact information, company information, professional role, campaign criteria, qualification responses, completeness, duplication and other agreed data points.

Delivery, Review & Replacements

Delivery method, frequency, format and volume may be established in the applicable campaign documentation.

Clients should review delivered records promptly and notify Veryfyd of suspected issues within any review period specified in the applicable order or agreement.

Any replacement, credit or remediation process will be subject to the applicable campaign terms and the nature of the reported issue. Unless expressly agreed otherwise, Veryfyd does not guarantee replacement for records merely because they do not convert into sales opportunities or revenue.

Fees, Invoicing & Payment

Fees, currencies, billing schedules, minimum commitments and payment terms will be stated in the applicable proposal, insertion order, statement of work, invoice or other commercial agreement.

Unless otherwise agreed in writing, amounts properly invoiced are payable according to the payment terms stated on the applicable order or invoice.

Applicable taxes, duties or similar governmental charges may be added where required by law.

Confidentiality

Each party may receive non-public business, technical, commercial or operational information from the other party.

Where information is identified as confidential or should reasonably be understood to be confidential given its nature and the circumstances of disclosure, the receiving party should use reasonable measures to protect it and use it only for purposes connected with the business relationship.

Confidentiality obligations may also be governed by a separate non-disclosure agreement or other written agreement between the parties.

Privacy & Data Protection

Personal information processed in connection with our website and services is addressed in our Privacy Policy .

Depending on the engagement and the parties’ respective roles, additional data-processing requirements may be established in campaign documentation or a separate data-processing agreement.

Intellectual Property

Veryfyd retains its rights in its website, branding, methodologies, processes, frameworks, technology, documentation, know-how and other materials developed independently of a particular client engagement, except where expressly agreed otherwise in writing.

Client-owned materials remain the property of the client or their respective rights holders.

Rights relating to campaign-specific deliverables will be governed by the applicable agreement between Veryfyd and the client.

Acceptable Use

Veryfyd services and information must not knowingly be used for unlawful, fraudulent, deceptive or abusive purposes.

Clients must not use our services to:

• Violate applicable law or regulation
• Misrepresent identity or authority
• Interfere with or compromise Veryfyd systems
• Attempt unauthorized access to systems or information
• Use delivered information in a manner prohibited by an applicable agreement

Third-Party Services

Veryfyd may use third-party technology, infrastructure, communications, data-processing or other providers in connection with its operations and service delivery.

Third-party products or services may be governed by separate terms and policies established by their respective providers.

Service Warranties & Disclaimers

Veryfyd will provide agreed services using commercially reasonable care consistent with the applicable engagement.

Except for warranties expressly stated in a written agreement and to the extent permitted by applicable law, services are provided without additional express or implied warranties.

Veryfyd does not warrant any particular sales conversion rate, pipeline value, revenue result, customer response, meeting rate or other downstream commercial outcome.

Limitation of Liability

To the extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential or punitive damages arising from the services, including loss of profits or business opportunities, except where such limitation is prohibited by law or expressly modified in a written agreement.

Any contractual liability cap or additional limitation applicable to a particular engagement should be specified in the applicable order, statement of work or other written agreement.

Indemnification

Any indemnification obligations between Veryfyd and a client will be governed by the applicable written agreement.

Nothing in these website terms creates an indemnification obligation beyond one expressly agreed in writing or required by applicable law.

Suspension & Termination

Veryfyd may suspend or terminate access to services where reasonably necessary because of material breach, unlawful use, security concerns, non-payment or other grounds specified in an applicable agreement.

Campaign cancellation and termination rights, including any financial consequences, will be governed by the applicable proposal, order, statement of work or other written agreement.

Applicable Law & Disputes

Governing law, jurisdiction and dispute-resolution provisions applicable to paid services should be specified in the relevant contract, insertion order, statement of work or other written agreement between Veryfyd and the client.

Where no separate agreement specifies these matters, applicable law will determine the appropriate governing law and forum.

Changes to These Terms

Veryfyd may update these Terms periodically to reflect changes to our services, business practices or legal requirements.

The current version will be posted on this page together with the date of the latest update. Changes to an existing signed agreement will remain subject to the amendment provisions of that agreement.
